1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website https://basedigservices.com and its applications, including Reportomator and RFQ Automator (together, the "Services"), operated by AMDAMAX ("Basedig Services", "we", "us").

By creating an account or using the Services, you accept these Terms. If you do not agree, you must not use the Services.

2. Definitions

• Account: the personal account you create to access the Services.
• User / you: any person or entity using the Services.
• Content: any data, files (including accounting entries and FEC files), text or other material you upload, generate or process through the Services.
• Services: the software platform and applications described above.

3. Account Registration

To use the Services, you must create an Account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your credentials.
• All activity carried out under your Account.
• Notifying us promptly of any unauthorized use.

You must be at least [AGE — e.g. 18] years old, or have the legal capacity to enter into a contract, and where you act on behalf of an organization, you warrant that you are authorized to bind it.

4. Description of the Services

Basedig Services provides software for financial reporting and related automation. In particular:

• Reportomator processes accounting entries (including French FEC files and Plan Comptable Général data) to produce normalized financial reports, computed reporting node values, charts and dashboards.
• RFQ Automator supports request-for-quotation workflows.

We may add, modify or discontinue features at any time. We will make reasonable efforts to inform you of material changes.

5. Your Content and Responsibilities

5.1 Ownership

You retain all rights to your Content. We do not claim ownership of the data you upload.

5.2 License to operate the Services

You grant us a limited, non-exclusive license to host, process and display your Content solely to provide and maintain the Services for you.

5.3 Your warranties

You are solely responsible for your Content. You warrant that:
- You have the necessary rights and lawful basis to upload and process it.
- It does not infringe third-party rights or violate any applicable law (including data protection and accounting regulations).

5.4 Accuracy of results

The Services compute reports based on the data you provide. You remain responsible for verifying the accuracy and appropriateness of any output. The Services do not constitute accounting, tax, legal or financial advice, and should not replace the judgment of a qualified professional.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to the Services, other accounts or our infrastructure.
• Reverse-engineer, decompile or copy the Services except as permitted by law.
• Introduce malware or disrupt the integrity or performance of the Services.
• Resell or sublicense the Services without our written authorization.

We may suspend or terminate access for any breach of this Section.

7. Subscriptions, Fees and Payment

7.1 Fees

Access to certain features may require a paid subscription. Applicable fees, billing cycles and plans are described at the point of purchase.

7.2 Payment processing

Payments are processed by Stripe. By subscribing, you authorize the applicable charges and agree to Stripe's terms for payment handling.

7.3 Renewal and cancellation

Unless otherwise stated, subscriptions renew automatically for successive periods. You may cancel renewal at any time through your Account; cancellation takes effect at the end of the current billing period.

7.4 Taxes

Fees are exclusive of applicable taxes (e.g. VAT), which will be added where required.

7.5 Refunds

8. Intellectual Property

9. Availability and Support

10. Data Protection

Our processing of personal data is described in our Privacy Policy. Where we process personal data on your behalf as a processor, the parties agree that [a Data Processing Agreement / the applicable terms] shall govern such processing in accordance with Article 28 GDPR.

11. Warranties and Disclaimers

Upon termination, your right to use the Services ends, and we may delete your Content after a reasonable period, subject to our retention obligations described in the Privacy Policy.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after the changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by French law. In the event of a dispute, the parties will seek an amicable resolution. Failing that, the competent French courts shall have jurisdiction, subject to any mandatory provision applicable to consumers. Consumers may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

16. Miscellaneous

• If any provision of these Terms is held invalid, the remaining provisions remain in effect.
• Our failure to enforce any right does not constitute a waiver.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
